South Carolina lawmakers received their first formal briefing Oct. 15 on NextEra Energy’s proposed acquisition of Dominion Energy, pressing company officials on customer bill credits, employment and the future of Dominion Energy South Carolina while a contested state regulatory case proceeds.
WIS News 10 described the proposed transaction as a $67 billion deal. The companies announced in May that their all-stock combination would create what they called the world’s largest regulated utility business by market capitalization, serving about 10 million customer accounts across Florida, Virginia, North Carolina and South Carolina. The deal cannot close without shareholder, federal and state approvals, including review in South Carolina.
For a state with more than 800,000 Dominion Energy South Carolina customers, the briefing put a political spotlight on terms that remain subject to the Public Service Commission process. The legislative session was not an approval hearing, and it did not settle the central commercial questions: what enforceable benefits South Carolina customers would receive, how local operations would be managed, and whether the commission will approve the change of control.
A legislative briefing, not an approval
At the State House briefing, company representatives discussed bill credits of roughly $10 a month for residential South Carolina customers for two years if the transaction closes, according to WIS News 10. NextEra Chief Executive John Ketchum said Dominion Energy South Carolina would remain a South Carolina utility led by South Carolina personnel, with the larger company’s resources behind it.
The proposed credits are part of a broader package first described in the companies’ May announcement. NextEra and Dominion said they would provide $2.25 billion in bill credits to customers in Virginia, North Carolina and South Carolina over the first two years after closing. The announcement did not allocate that total by state, so it does not establish a total dollar value for the South Carolina credits.
The credit proposal has also become a point of comparison among states. A September report by WRDW/WAGT said Virginia’s proposed credit period had been extended to four years, while the South Carolina offer remained two years. That reporting indicates a longer proposed duration in Virginia, but the available public materials do not establish the full revised Virginia terms or whether its total value changed.
The transaction terms and approval path
Dominion shareholders would receive 0.8138 NextEra shares for each Dominion share under the definitive agreement. At closing, NextEra shareholders are expected to own about 74.5% of the combined company and Dominion shareholders about 25.5%, according to the joint announcement. It is a stock-for-stock transaction rather than a cash takeover, leaving the ultimate value received by Dominion investors dependent in part on NextEra’s share price at closing.
In addition to votes by both companies’ shareholders, the companies listed Hart-Scott-Rodino antitrust clearance or expiration of its waiting period, approvals from the Federal Energy Regulatory Commission and Nuclear Regulatory Commission, and utility-regulator reviews in Virginia, North Carolina and South Carolina. The companies initially projected a closing in 12 to 18 months, subject to those conditions.
South Carolina’s proceeding is docket 2026-186-EG, a joint petition by Dominion Energy South Carolina, Dominion Energy and NextEra seeking approval of the business combination. The Public Service Commission docket shows the matter is well beyond a simple notice filing: it includes intervention activity, discovery requests and a motion-to-compel dispute. In a change-of-control case, the commission’s review centers on whether approval is in the public interest, rather than on the Legislature’s views alone.
Walmart, the South Carolina Public Service Authority and the state Department of Consumer Affairs are among the entities participating in the docket. Consumer and environmental organizations including South Carolina Appleseed Legal Justice Center, the Sierra Club, Coastal Conservation League, Southern Alliance for Clean Energy and Vote Solar have also entered the case or filed requests. Commission entries in late September and early October record discovery activity and a motion to compel by the three environmental groups.
Competing claims over cost and growth
NextEra and Dominion argue that added scale, operating efficiencies and financing capacity would help the combined company meet rising electricity demand more cost-effectively and keep bills affordable over time. Those are forward-looking company assertions, not an established outcome of the transaction. The companies have not completed the merger, and state regulators have not issued a final South Carolina order.
Opponents are making the opposite case. The Southern Environmental Law Center, speaking for several advocacy groups, warned that the deal could raise costs for South Carolina customers and encourage additional gas infrastructure associated with data-center electricity demand. South Carolina Appleseed has said it opposes the transaction, arguing that it could harm ratepayers and worsen disconnections and energy prices in the state.
Those forecasts are claims by the respective parties, not findings by the commission. Likewise, advocates’ characterization of the combined business as the nation’s largest monopoly utility differs from the companies’ narrower description of a regulated-utility business measured by market capitalization. The distinction is relevant because the PSC case will be decided on the proposal and conditions before it, not on either side’s labels.
South Carolina’s review therefore gives the credit package, service commitments and local-operating assurances a formal venue for testing. The docket already shows parties seeking information from the applicants, while the companies must satisfy a multilayered approval process in three state jurisdictions and Washington. WIS News 10 reported that the commission was expected to take up the case in December, with a final order anticipated in early 2027.
