CrowdStrike issued 2,118,022 shares to an affiliate of Schwarz Group as part of the closing of its purchase of XM Cyber intellectual-property and technology assets, according to an Oct. 13 report by CTech. Using the $208-per-share figure cited in that report, the newly issued stock would be worth about $440.5 million. Added to $145 million in previously disclosed cash-and-stock consideration, that produces an implied total of roughly $585.5 million.
The calculation makes the transaction considerably larger than the initial $145 million component alone suggested. But it does not establish a confirmed purchase price above $600 million: CTech attributed the share count and valuation framework to a CrowdStrike SEC filing, which was not independently reviewed by this publication. The $586 million figure is therefore CTech’s estimate using its stated closing-share value, rather than a verified aggregate deal value.
What CrowdStrike is buying
The legal structure is narrower than an acquisition of XM Cyber itself. A competition record for the matter, published in connection with Australia’s merger-review system, identifies the buyer as CrowdStrike and the target as the intellectual property and associated technology assets of XM Cyber. The matter was notified on July 24 and is listed as approved.
That record says the transfer encompasses patents, trademarks, copyrights, trade secrets, domain names and source code. It also states that CrowdStrike is not acquiring shares in XM Cyber entities or the company’s existing employees. Those terms draw an important line for a cybersecurity transaction that might otherwise be described as an outright company takeover.
An asset purchase can give a buyer control of a product’s underlying code and other technical rights without transferring the seller’s entire corporate operation. Here, the available transaction record does not support treating XM Cyber’s existing corporate entities, employee base or equity as part of CrowdStrike’s purchase.
CTech reported that XM Cyber would continue operating separately and would support its existing customers under a license to use the technology. The details of that license, including its duration, economic terms and the precise division of customer-facing responsibilities, were not disclosed in the available public materials.
The share math behind the reported estimate
The key new element is the reported issuance of 2,118,022 CrowdStrike shares at closing. Multiplying that count by the $208 price used by CTech yields $440,548,576. Adding the report’s previously disclosed $145 million consideration results in $585,548,576, conventionally rounded to about $586 million.
The original $145 million should not be read as a cash payment. CTech described it as a combination of cash and CrowdStrike shares, with additional shares to be set at closing. That distinction is material because the headline figure combines several forms of consideration rather than a single cash transfer.
CTech’s headline characterized the price as more than $600 million, but its own arithmetic at $208 per share produces the lower, approximately $586 million result. The publication also noted that CrowdStrike shares were trading around $263 at the time of its report. Applying that later market price to 2.1 million shares would create a larger mark-to-market value, but it would not automatically change the value assigned to the consideration when the transaction closed.
For deal analysis, the applicable share-price date is consequential. A fixed number of acquirer shares can move substantially in value between signing, closing and any subsequent reporting date. Without the underlying filing and the agreement’s valuation mechanics, the reported share count is more secure as an attributed fact than any precise all-in purchase-price label.
A different exit for Schwarz Group’s cybersecurity holding
Schwarz Group, the German retail group that owns XM Cyber, acquired the Israeli cybersecurity company in 2021 for a reported $700 million, according to SC Media’s coverage of that transaction. The current arrangement is not directly comparable to that earlier purchase. Schwarz acquired XM Cyber as a company; CrowdStrike is purchasing specified technology assets while XM Cyber remains outside the share transfer described in the Australian record.
The comparison nevertheless helps explain why the structure deserves attention. A roughly $586 million implied consideration figure, if calculated under CTech’s method, relates to intellectual property and associated technology rather than necessarily to every business asset that Schwarz obtained in 2021. It should not be treated as a gain-or-loss calculation on Schwarz Group’s original investment, particularly because the two transactions cover different scopes and occurred about five years apart.
For CrowdStrike, the terms reported so far point to a technology acquisition financed partly with its own equity. The outstanding questions are contractual rather than arithmetic: the final cash-and-stock allocation, the share valuation date, whether any contingent consideration remains, and how the continuing license defines access to the technology for XM Cyber’s operating business and customers.
